Association (HTAAA)

CONSTITUTION AND BY-LAWS
THE PREAMBLE
We, the proud alumni of Holy Trinity Academy, Loay, Bohol, in viewed with
gratitude to our Alma Mater, defined our roles and responsibilities in
molding and educating our children and organized ourselves freely and voluntarily
to become partners with the school administration of our beloved Alma Mater
in promoting the welfare of our young children and in preparing them to
become good citizens in the country through High School education and Christian
Values inculcation and imploring the aid of the Holy Triune God following
all directives from the duly constituted authorities and abiding the laws
of the Republic of the Philippines, do hereby promulgate this constitution.
ARTICLE I - NAME AND
DOMICILE
Section 1. The association
shall be called Holy Trinity Academy Alumni Association. In abbreviation,
it is called HTAAA.
Section 2. The office
of the association shall be at the Holy Trinity Academy building. However,
the association may build its own office
if necessary.
ARTICLE II - OBJECTIVES
Section 1. The association
generally aims to act as partner with the school's administration of Holy
Trinity Academy in the noble and
humble cause of molding the young people of the country by providing support
services, facilities, or financial needs to the
school administration, faculty and staff.
Section 2. The association
shall also seek to avail of any aid or help from the government and non-government
organizations for the
realization of its plans and programs.
Section 3. The association
also aims at instilling into the heart and consciousness of the HTA alumni
the values of oneness, sympathy,
and sense of gratitude in the struggle for a continuous Catholic-based
High School education in the municipality of Loay.
ARTICLE III - MEMBERSHIP
Section 1. Bonafide
members of this association are those who graduated from Holy Trinity Academy,
Loay, Bohol since its existence
way back in June 1947.
Section 2. Membership
in the association is lifetime.
ARTICLE IV - RIGHTS
AND RESPONSIBILITIES
Section 1. All members
of the association shall have the right to vote and be voted upon in any
election of the association.
Section 2. All members
can directly participate in any discussion of the association and have
the right to approve or disapprove any
motion.
Section 3. Every member
is encourage to attend regular and special meetings.
Section 4. Every member
of this association must regularly pay or remit thier dues, if there's
any, to the association.
ARTICLE V - FUNDS AND
DUES
Section 1. The Board
of Directors in a regular or special meetings may decide to raise funds,
impose membership dues, receive donations
or collect a monthly contribution for the funds of the association which
will be used to finance its programs and activities.
Section 2. Disbursements
of funds must be in consonance with the objectives of the association.
Section 3. Disbursements
of funds shall be made by the Treasurer after having been recommended by
the Auditor and approved by the
President.
Section 4. Proper
accounting system must be installed such that all disbursements must be
supported with appropriate receipts and
other pertinent documents in order to safeguard the funds of the association.
Section 5. All financial
resources of the association shall be deposited at any bank or banks upon
the approval of the Board of Directors
and signatories of the bank accounts shall be the President, the Treasurer
and the designated alumni office director.
Section 6. Any withdrawal
of funds of the association shall be made in any two signatures of the
three signatories.
Section 7. The bank
account shall bear the name of Holy Trinity Academy Alumni Association,
Loay, Bohol.
ARTICLE VI - OFFICIALS
AND PERSONNEL
Section 1. The officers
of the association shall be the following:
President; Vice President; Secretary; Treasurer; Auditor; Press Relations
Officer; Ten members of the Board of Directors; and
Alumni Executive Director.
Section 2. All officers
of the association shall preferably be Loay-based but not outside Bohol
alumnae or alumnus in order for them to
be effective in the discharge of their tasks and responsibilities.
Section 3. The Alumni
Executive Director shall be preferably chosen from one of the SSpS sisters
assigned presently at Holy Trinity
Academy, Loay, Bohol. However, the association may employ a non-sister
director depending upon the situation.
Section 4. There shall
be a governing body called The Board of directors composed of the President,
the Vice President and ten other
elected members.
ARTICLE VII - POWERS
AND DUTIES OF THE GOVERNING BODY
Section 1. The governing
body shall be the highest policy-making body of the association. Specifically,
the governing body shall act on
the following:
a.) Plans the programs of activities of the association
b.) Promulgate resolutions necessary to carry out the objectives of the
association
c.) Hold fund-raising activities, the proceeds of which shall accrue to
the general fund of the association
d.) Authorize the President to enter into agreement with other groups when
necessary.
Section 2. The governing
body must convene when called by the President aside from attending or
holding its regular meeting.
ARTICLE VIII - POWERS
AND DUTIES OF THE OFFICIALS
Section 1. The President
shall have the following duties:
a.) May call and preside the meetings of the board and the general assembly.
b.) Signs contract in behalf of the association upon the authority from
the governing body or the board.
c.) Directs the implementation of the policies and programs approved by
the board.
d.) Approve the disbursements of funds by the Tresurer after having been
recommended by the Auditor.
e.) Act as Chairman and presiding officer of the Board of Directors. As
presiding officer, he or she can not vote in any call to
divide the house except to break a tie.
Section 2. It is the
power of the President to appoint members of special bodies, committees
or personnels.
Section 3. The Vice
President shall have the following functions:
a.) Automatically assumes the functions of the President in case the latter
is absent, on leave, or in permanent incapacity.
However, he or she can not appoint appointive personnel unless he officially
assumes as President due to succession. He
is an automatic member of the Board of directos and automatic presiding
officer of the Board when the President is absent.
In cases when the President and Vice President are absent, the members
of the Board shall elect among themselves a
temporary presiding officer.
b.) May do other functions as designated by the President or approved by
the Board.
Section 4. The Secretary
performs the following functions:
a.) Keeps in custody the records of the association.
b.) Writes down the minutes in every Board, special or general membership
meeting. However, he or she can not vote in any
call to divide the Board in session.
c.) Receives and sends communications in behalf of the association; and
d.) May do other functions as designated by the President or by the Board.
Section 5. The Treasurer
shall have the following functions:
a.) Keeps the money of the association
b.) Receives donations, dues, and/or contributions
c.) Keeps in custody the property owned by the association
Section 6. The Auditor
shall have the following functions:
a.) Audits the financial activities of the association
b.) Keeps the records of accounts of the association; and
c.) Checks all the records of the association
Section 7. Functions
of the Press Relations Officer
a.) The PRO is responsible for all the press releases pertaining to the
activities of the association.
b.) Maintains close relationship between the public, the media and the
association.
ARTICLE IX - TERM OF
OFFICE AND ELECTION
Section 1. The elected
officers of the association shall hold office for two (2) years or until
new sets of officers are elected and they are
entitled for one reelection. The officers shall assume office on the day
of the election. Outgoing officers of the association
shall turn-over all the records to the new leadership within 30 calendar
days from the date of election.
Section 2. The first
election shall be held on the Pentecost Sunday of 1999 at 10:00 AM. The
next and succedding elections shall be held
on the same occasions (Pentecost) after two years and every two years thereafter.
Section 3. Elections
of officers shall be held at Holy Trinity Academy, Loay, Bohol.
Section 4. Election
of officers shall be by direct nominations and raising of hands.
Section 5. The SSpS
sisters presently assigned in the school shall act as members of the Electoral
Commission whose main function is to
handle and supervise the election of officers. In line hereof, the SSpS
Principal or the sister superior shall preside the election
proceedings and resolve conflicts arrising from the election.
ARTICLE X - MEETINGS
Section 1. The meeting
of all members of the association shall be held every year on a day which
shall be set by the Board.
Section 2. The Board
of Directors shall have its Board meeting every quarter of the year on
a day to be decided by the Board.
Section 3. The Secretary,
Treasurer, Auditor, and PRO shall also attend and participate the Board
meeting. However, they are not
entitled to vote.
Section 4. Special
meetings of the Board may be called by the President or upon petition of
at least 2/3 of the members of the Board.
ARTICLE XI - QUORUM
ARTICLE XII - ADVISERS
Section 1. The incumbent
HTA principal and the Sister Superior shall automatically act as advisers
of the association.
Section 2. The association
may tap other personalities in the community to act as advisers to the
association.
Section 3. The advisers
of the association maybe invited to attend both meetings of the officers
and the general assembly but are not
entitled to vote or be voted upon.
ARTICLE XIII - AMENDATORY
PROVISIONS
Section 1. The members
in the general assembly may amend any provision of this Constitution by
a simple majority votes. Provided,
such amendment shall only be made one year after the ratification of this
constitution.
Section 2. Other rules
and policies may be formulated by the association through approved motion
by simple majority votes by the
general assembly.
ARTICLE XIV - EFFECTIVITY
Section 1. This Constitution
and By-Laws of the Holy Trinity Academy Alumni Association or HTAAA shall
take effect immediately
after the ratification by the members of the association through a vote
of simple majority in a general assembly.
Section 2. The first
officers of the association shall assume office immediately after the election
or on the day of the election. Provided,
ratification of this Constitution shall be done first before the election.
The foregoing Constitution
and By-Laws of the Holy Trinity Academy Alumni Association or HTAAA was
promulgated and ratified by the alumni of Holy Trinity Academy in a general
meeting called for such purpose, on the 3rd day of January, Nineteen Hundred
and Ninety-Nine at Holy Trinity Academy, Loay, Bohol, Philippines.
